1. Acceptance of Terms
By engaging with any of our services, you agree to be bound by these Terms of Service. If you do not agree, please refrain from using our services. These terms apply to all users, clients, and visitors.
2. Services Provided
We offer a wide range of technology services, including:
Managed IT Support Plans
Custom Development, VoIP, and Automation Services

3. Exclusions
Unless explicitly stated, the following are not included in monthly plans:
Content creation or graphic design
Web design or major restructuring
Email marketing campaigns
Hosting costs or third-party licenses (unless included in plan)
Social media management
SMS or WhatsApp automation
Major platform migrations
Any additional request beyond your subscription scope will be quoted and invoiced separately.
4. Commitments and Duration
All plans have a minimum commitment of 12 months, unless otherwise agreed in writing. After this period, services continue on a monthly auto-renewal basis unless canceled with 30 days’ written notice prior to the next billing cycle.
Early termination may incur an early exit fee, equivalent to the remaining months in your subscription.
5. Payment and Billing
Payment Methods: Credit card, ACH, PayPal, or Stripe subscription.
Billing Frequency: Monthly, unless otherwise agreed.
Due Date: Payments are due within 5 days of invoice.
Late Payment: Services may be paused after 10 days of non-payment and terminated after 30 days.
Refunds: No refunds are issued for services already rendered or current billing cycles.
6. Intellectual Property
Unless otherwise agreed:
All materials, processes, templates, and custom code developed by Inteligentic Solutions remain our intellectual property.
You are granted a non-exclusive license to use the deliverables as part of your business operations.
Custom development may include licensing clauses defined in your specific proposal or contract.
7. Liability & Warranties
We are committed to delivering high-quality services. However, we do not guarantee results derived from third-party platforms (e.g., Google, Facebook, Shopify) nor outcomes affected by client-side delays, technical limitations, or misconfigurations.
We are not liable for:
Downtime caused by external hosting providers
Loss of revenue due to service interruption or third-party service failures
Misuse of credentials or tools by the client
Our role is to support and advise; decisions remain under your control.
8. Force Majeure
We are not liable for delays or failures in performance resulting from events beyond our control, including natural disasters, war, cyberattacks, outages, government restrictions, or pandemics.
9. Modifications to Services
We may update or change the scope or nature of services, pricing, or terms with 15 days’ notice. Continued use of services implies acceptance of updated terms.
10. Privacy & Data Protection
We respect your data. Please review our Privacy Policy for full details. By accepting these Terms, you agree that our privacy policy also applies.
11. Governing Law
These Terms are governed by the laws of the State of Florida, USA. Any disputes will be resolved through arbitration or in the appropriate courts of Miami-Dade County.
